Enterprise Global Supplier Code of Conduct

1. Ecosystem Integrity Mission

Nexly.biz (the “Company”) is committed to conducting business with absolute ethical integrity. Our mission is to partner with suppliers who share this commitment. This Code defines the non-negotiable standards we expect from every entity within our global supply chain. We view supplier integrity as a prerequisite for institutional affiliation.

2. Universal Structural Scope

This Code applies to all suppliers, vendors, contractors, and their respective subsidiaries and subcontractors (collectively, “Suppliers”) who provide goods or services to Nexly. Suppliers are responsible for ensuring that their own supply chains adhere to these equivalent standards.

3. Legal & Jurisdictional Compliance

Suppliers must operate in full compliance with all applicable laws, codes, and regulations of the countries in which they operate. This includes adherence to international mandates such as the UN Global Compact, the ILO Declaration on Fundamental Principles and Rights at Work, and the OECD Guidelines for Multinational Enterprises.

4. Anti-Corruption & Bribery Matrix

Nexly maintains a zero-tolerance mandate for corruption. Suppliers must never offer, give, or accept bribes, kickbacks, or any other improper advantage to secure business logic. All business dealings must be transparent and accurately reflected in the Supplier’s financial books.

5. Conflicts of Interest & Loyalty

Suppliers should avoid any situation that creates a conflict of interest or even the appearance of one. This includes providing excessive gifts to Nexly employees or hiring former Nexly personnel in roles that leverage non-public Company intelligence.

6. Supplier Data Security & Fortitude

Suppliers granted access to Nexly systems or personal data must implement enterprise-grade security controls. This includes mandatory encryption, zero-trust access, and formal incident notification protocols. A breach in the Supplier’s infrastructure is treated as a breach of Nexly’s trust.

7. Modern Slavery & Forced Labor Prohibition

Nexly prohibits any form of modern slavery, human trafficking, or forced labor. Suppliers must adhere to the UK Modern Slavery Act 2015 and equivalent global mandates. This includes the absolute prohibition of:

  • Debt bondage, indented labor, or involuntary prison labor.
  • Withholding employee identity documents or passports.
  • Charging recruitment fees to workers.

8. Universal Labor Standards & Safety

Suppliers must provide a safe and healthy environment for their workers. This includes fair compensation meeting min-wage laws, regulated working hours, and the right to freedom of association and collective bargaining.

9. Inclusion, DEI & Non-Discrimination

We prioritize Suppliers who foster a diverse and inclusive workforce. Suppliers must not discriminate in hiring or employment practices based on protected characteristics and must maintain a workplace free from harassment.

10. ESG Responsibility & Ecological Logic

Environmental performance is a key variable in Nexly’s procurement decisions. Suppliers are expected to minimize their carbon footprint, manage waste responsibly, and actively transition to renewable energy sources within their operations.

11. Supply Chain Triage & Subcontracting

Suppliers may only utilize subcontractors with prior written authorization from Nexly. Suppliers are responsible for the "Downward Compliance" of their subcontractors with this Code of Conduct.

12. Recursive Audit & Inspection Rights

Nexly reserves the right to conduct announced or unannounced audits of Supplier facilities and documentation. Material non-compliance with this Code results in immediate contractual "Cure Periods" or, for critical breaches, permanent termination of the partnership.
